Open Access Data Centres (OADC) has secured regulatory approval to acquire a portfolio of NTT data centers South Africa, marking a major expansion of its local infrastructure footprint.

The Competition Commission approved the transaction with public-interest conditions. Importantly, regulators found no significant competition concerns.

Transaction Structure

Under the approved deal, OADC Propco SA (Pty) Ltd and Open Access Data Centres SA (Pty) Ltd will acquire selected operations from NTT Data South Africa.

Both acquiring entities operate as wholly owned subsidiaries of Open Access Data Centres (Mauritius) Limited. Meanwhile, that holding company sits under the West Indian Ocean Cable Company Holding Company Limited (WIOCC Holding Company).

As a result, the acquisition forms part of a broader regional strategy. WIOCC Holding Company already controls multiple digital infrastructure assets across sub-Saharan Africa.

Scope of the Assets

The transaction includes seven facilities from the NTT data centers South Africa portfolio. These sites operate in Bloemfontein, Cape Town, East London, Bryanston and Parklands in Johannesburg, Gqeberha, and Umhlanga.

Additionally, OADC will assume control of all associated infrastructure. This includes power systems, cooling equipment, network assets, supplier contracts, and lease agreements. Notably, the Parklands facility includes ownership of the underlying property.

Each site delivers colocation services, rack and power capacity, connectivity solutions, and data center deployment and management services.

OADC’s Existing Footprint

OADC already operates data centers in Johannesburg, Durban, and Cape Town. Therefore, the acquisition expands both scale and geographic reach.

Beyond data centers, the wider group owns terrestrial and subsea fiber networks. Consequently, OADC can integrate connectivity and hosting services across the region.

Regulatory Review

Following its review, the Competition Commission concluded that the deal would not substantially lessen competition.

However, the approval includes public-interest conditions. Specifically, OADC committed to implementing a Historically Disadvantaged Persons (HDP) transaction as part of the deal.

Market Implications

The acquisition strengthens OADC’s position in a market seeing rising demand for secure and scalable capacity.

Meanwhile, growth in cloud adoption, enterprise digitization, and regional connectivity continues to lift demand. As a result, the NTT data centers South Africa portfolio adds strategic depth at a critical time.
