Hyperscale Data Plans Bitcoin Mining Spinoff as AI Expansion Accelerates

Bitcoin mining spinoff

Hyperscale Data plans to establish Patriot BTC as a separate subsidiary for its Bitcoin mining operations, drawing a clearer line between cryptocurrency mining and its expanding artificial intelligence infrastructure business. The proposed restructuring would move the company’s Montana data center, Bitcoin miners, mining equipment and associated infrastructure into the new entity, according to an announcement on Sept. 22. The move comes as the company prepares its Michigan facility to support AI computing workloads under a long-term capacity agreement with a neocloud customer. For Hyperscale Data, the proposed separation signals a broader effort to organize distinct infrastructure businesses around their capital requirements, operational priorities and potential investor appeal.

Patriot BTC Targets a Separate Business Structure

“Bitcoin mining and AI data center development have different capital requirements, operating priorities and value drivers,” explained Milton ‘Todd’ Ault III, Hyperscale Data’s executive chairman. The company is evaluating options to position Patriot BTC within a publicly traded entity, potentially through a separation or another transaction. However, the subsidiary had not been formed when Hyperscale Data announced the proposal, and the company had not approved a transaction structure or separation. Any eventual transaction would require board approval and compliance with applicable legal and regulatory requirements, leaving the proposal subject to further corporate decisions.

Michigan Facility Shifts Toward AI Computing

The proposed separation follows Hyperscale Data’s decision to end Bitcoin mining at its Dowagiac, Michigan, facility on Sept. 1. The company is preparing the site for a California-based neocloud customer, marking a shift in how it intends to deploy the facility’s infrastructure. Hyperscale Data’s subsidiary, Alliance Cloud Services, announced a master services agreement with the customer in June, covering an initial 20 megawatts of critical AI compute capacity.

The agreement runs for 10 years and includes two five-year extension options, giving the arrangement a potential 20-year duration. Hyperscale Data expects revenue exceeding $1.2 billion if the customer exercises both extensions. The agreement also provides the customer with a right of first offer for an additional 32MW of critical AI compute capacity, subject to availability, according to the company’s filing with the U.S. Securities and Exchange Commission. The provision creates a potential route for expanding the commercial relationship beyond the initial commitment, although it does not guarantee that the additional capacity will be deployed.

AI Expansion Depends on Financing and Power

In a Sept. 17 update, Hyperscale Data said it was targeting November 2026 for the start of operations under the agreement. The company also reported that it had invested more than $70 million in Alliance Cloud Services and the Michigan facility, underscoring the capital already committed to its AI infrastructure strategy. Hyperscale Data reiterated on Oct. 5 that the campus could ultimately support more than 300MW of total power capacity. That figure represents a longer-term potential rather than confirmed operational capacity, and expansion beyond the initial 20MW remains contingent on financing, utility agreements, engineering, regulatory approvals and other conditions.

Hyperscale Data’s proposed Patriot BTC structure could help distinguish its mining operations from its AI ambitions, but the commercial value of that strategy will depend on execution, customer demand and the company’s ability to deliver additional capacity. For now, the company is pursuing two different infrastructure paths: a proposed separate home for Bitcoin mining assets and a Michigan facility positioned for AI workloads. The outcome will depend on whether Hyperscale Data can complete the corporate restructuring while advancing its capacity plans under the conditions attached to its customer agreement.
