NVIDIA is positioning itself as a much larger financial stakeholder in SoftBank-backed SB Energy, with its total commitment set to reach US$3 billion once the company completes its planned initial public offering. The investment gives the chipmaker a direct financial connection to a business attempting to bridge energy infrastructure with the rapidly expanding requirements of AI data centers. SB Energy disclosed the structure in its IPO prospectus, revealing that NVIDIA’s involvement extends well beyond its existing role around the company’s major Ohio development. The deal also puts NVIDIA closer to the economics of a data center platform that has yet to bring a single facility into commercial operation.
NVIDIA’s Investment Could Reach US$3 Billion
The first US$1.5 billion comes through a prepaid forward contract that SB Energy entered into with NVIDIA on August 17. NVIDIA has already provided the money and will receive shares carrying an equivalent value once the IPO closes, with the shares priced at a 10% discount to the eventual IPO price. The second US$1.5 billion will come through a private placement at the IPO price, taking NVIDIA’s potential aggregate investment to US$3 billion. At SB Energy’s reported target valuation of US$50 billion, that combined position could translate into roughly 6% ownership of the company.
That ownership would give NVIDIA an unusually direct financial interest in the expansion of SB Energy’s data center strategy. The chipmaker is already connected to one of the company’s most consequential projects, the 10GW PORTS-Pike Technology Campus in Ohio. The project is central to SB Energy’s effort to turn its development pipeline into a large-scale AI infrastructure business, while NVIDIA’s capital commitment adds another layer to the relationship. For NVIDIA, the transaction links its interest in AI compute growth with the energy and real-estate infrastructure required to support that growth.
PORTS-Pike Becomes Central to NVIDIA’s Role
NVIDIA’s relationship with PORTS-Pike extends beyond its equity investment in SB Energy. Last month, the chipmaker agreed to provide a guarantee of up to US$105 billion against OpenAI’s lease of the development, a commitment that gives the Ohio project an additional layer of financial backing. The first phase targets 4.25GW of IT capacity, while a second phase could add another 3.78GW if NVIDIA exercises its option to provide a similar guarantee. The scale of those commitments underscores how closely NVIDIA’s infrastructure strategy is becoming tied to the financing and delivery of large AI campuses.
The guarantee does not function like an unconditional payment obligation from NVIDIA. It would come into play if OpenAI becomes insolvent or fails to resolve missed payments, while NVIDIA’s maximum exposure would decline over the 20-year lease. If the guarantee were triggered, NVIDIA could take over the tenancy, transfer it to an assignee, or instruct SB Energy to find another tenant for the facility. If SB Energy could not re-lease the campus, NVIDIA could direct the company to sell the asset, creating several possible paths for protecting the underlying economics of the development.
Studio 151 Adds Delivery Muscle
SB Energy has also moved to address its lack of a long data center development track record through the acquisition of Studio 151, a construction management and engineering firm focused on data center projects. The company said Studio 151 has worked across 20 data center campuses, including projects involving OpenAI. That experience gives SB Energy an internal team with exposure to the engineering, construction management and delivery challenges that come with large-scale data center development. The acquisition therefore complements the financial support coming from NVIDIA by strengthening the operational side of SB Energy’s infrastructure ambitions.
Co-CEO Abhijeet Sathe said SB Energy and OpenAI have worked with Studio 151 on multiple projects over the past 18 months, and that bringing the team in-house would help SB Energy deliver the data center campuses it is planning. Many of SB Energy’s current data center construction and design team have come from Studio 151. The move gives SB Energy a way to convert outside project experience into an internal delivery capability as it prepares to build out its pipeline. However, that capability will ultimately need to translate into completed campuses, functioning infrastructure and revenue rather than simply a larger development backlog.
NVIDIA Gains Exposure to Infrastructure Economics
The emerging relationship between NVIDIA and SB Energy illustrates how AI infrastructure financing is expanding beyond chips, servers and networking equipment. NVIDIA’s potential 6% stake, combined with its substantial guarantee exposure to PORTS-Pike, gives it financial interests spanning both the developer and the project supporting OpenAI’s future compute capacity. SB Energy, in turn, gains access to a strategic investor whose interests are directly aligned with the continued expansion of AI infrastructure. The arrangement creates a tighter connection between compute demand, power availability, project financing and data center delivery.
The bigger test arrives after the IPO, when SB Energy must convert the financial architecture surrounding its pipeline into physical infrastructure. A US$3 billion NVIDIA commitment can strengthen the balance sheet and improve investor confidence, but it cannot by itself eliminate construction, financing, customer or execution risks. PORTS-Pike will therefore serve as an important proving ground for whether SB Energy can move from an energy business with an ambitious data center pipeline into a credible hyperscale and AI infrastructure developer. For NVIDIA, the investment represents a deeper bet that the next phase of AI growth will depend as much on controlling the infrastructure around compute as it does on supplying the processors inside it.
