Core AI Holdings, Inc. has taken a decisive step into Southeast Asia’s fast-evolving digital infrastructure market. The company announced a Memorandum of Understanding with Malaysian data center developer CSPM Resources to pursue AI-ready data center opportunities across Malaysia. The move reflects a broader recalibration in how emerging players approach AI infrastructure: not by building from scratch, but by accelerating capacity through retrofitting and strategic partnerships.

The collaboration aims to identify existing edge computing facilities and upgrade them into Tier 3 or Tier 4 AI-capable data centers. If executed successfully, the initiative could bring operational facilities online within roughly a year, positioning Core AI Holdings and CSPM to capture demand from hyperscalers and enterprise AI users seeking ready-to-deploy infrastructure.

“This partnership represents an important execution milestone in our global AI data center initiative,” said Aitan Zacharin, CEO of Core AI Holdings, in a press release statement.

Retrofitting as a Strategic Lever

The partnership underscores a growing industry shift: retrofitting existing infrastructure has become a faster and more capital-efficient route to AI readiness than greenfield development. As AI workloads intensify, the bottleneck increasingly lies in power density, cooling capability, and network architecture rather than raw square footage.

Core AI Holdings and CSPM plan to operate upgraded facilities as co-location assets or position them for sale to hyperscalers seeking AI-ready capacity. This dual-path strategy reflects the evolving economics of data center assets, where infrastructure increasingly functions as both operational platforms and financial instruments.

CSPM brings deep local expertise to the partnership. The company has designed and built data centers for global hyperscalers and cloud providers in Malaysia and maintains relationships with government authorities, utilities, and financial institutions. Those connections could accelerate regulatory approvals and support access to energy allocations, two of the most critical constraints in AI infrastructure expansion.

“As demand shifts toward AI-intensive workloads, we see the need for AI-ready data centers is growing significantly,” said Bryan Tan, CEO of CSPM.

Malaysia’s Rising Role in the AI Infrastructure Map

Malaysia has emerged as one of Southeast Asia’s most attractive data center markets, driven by a combination of geographic location, regulatory stability, and improving power infrastructure. The country increasingly serves as a regional alternative to Singapore, where land and energy constraints have tightened capacity growth.

For Core AI Holdings, Malaysia represents more than a geographic expansion. It offers a strategic foothold in a region where hyperscalers are recalibrating deployment strategies and diversifying infrastructure footprints to support AI-driven workloads.

The partnership also reflects a broader narrative shaping global digital infrastructure: smaller, agile companies are attempting to carve out roles within an ecosystem historically dominated by large incumbents. By aligning with local developers and focusing on retrofit-driven scalability, Core AI Holdings is positioning itself within this evolving competitive landscape.

Corporate Context and Strategic Timing

The announcement comes at a pivotal moment for Core AI Holdings. The company recently completed its merger with Core Gaming, Inc., finalizing the transaction on October 3, 2025. Core Gaming became a wholly owned subsidiary of Core AI Holdings, strengthening the company’s corporate structure and expanding its operational scope.

Following the merger, Core AI Holdings refiled financial statements confirming no changes to previously disclosed financials for periods ending June 30, 2025. The company also released updated financial information, including unaudited financial statements for Core Gaming for the nine months ending September 30, 2025, along with unaudited pro forma combined financial statements for both companies.

These disclosures, filed as part of regulatory requirements, reflect an effort to stabilize the company’s financial narrative while it pursues ambitious infrastructure initiatives. The Malaysia partnership therefore sits at the intersection of corporate consolidation and strategic expansion.

AI Infrastructure as a Geopolitical and Economic Asset

Beyond corporate strategy, the partnership highlights a deeper shift in how nations and companies view data centers. AI-ready infrastructure now functions as a strategic asset, shaping economic competitiveness and technological sovereignty. Malaysia’s growing role in this ecosystem suggests that Southeast Asia could become a critical battleground in the global race for AI capacity.

For Core AI Holdings, the CSPM alliance represents an attempt to align with this structural shift rather than merely react to it. By targeting retrofit opportunities and positioning assets for hyperscaler demand, the company is attempting to insert itself into the high-value segment of the AI infrastructure chain.

What Comes Next

Core AI Holdings and CSPM are moving forward with drafting and negotiating definitive agreements to formalize their collaboration. The outcome of those negotiations will determine whether the partnership evolves into a scalable platform or remains a limited regional initiative.

If successful, the alliance could serve as a blueprint for how emerging infrastructure players accelerate AI readiness without the long timelines associated with traditional data center development. It could also signal a broader trend in which retrofitted edge facilities become a cornerstone of global AI capacity.
